Description

Our client is a provider of business services to municipal and state governments and is entering an active phase of corporate development. The organization plans to pursue multiple acquisitions while also divesting at least one business unit.

To support this effort, the client is seeking a Corporate Development Consultant to assist with both buy-side and sell-side M&A execution. This is a flexible, part-time role suited for a senior deal professional who can scale hours based on transaction activity and operate comfortably within a corporate environment.

Responsibilities

1. Support end-to-end M&A execution across acquisitions and divestitures
2. Assist with transaction strategy, diligence planning, and execution workstreams
3. Coordinate with internal stakeholders (finance, legal, leadership) and external advisors
4. Lead or support financial analysis, valuation work, and deal structuring
5. Prepare and review key transaction materials, including CIMs, management presentations, and investment memos
6. Manage data rooms, diligence requests, and Q&A processes
7. Support negotiations and closing activities as needed
8. Provide strategic input on target assessment and portfolio optimization

Qualifications

1. Required: Significant experience working on multiple M&A transactions (buy-side and/or sell-side)
2. Former VP-level investment banker (strong plus)
3. Prior corporate development experience within an operating business (strong plus)
4. Background in business services, technology-enabled services, or software (strong plus)
5. Experience selling into or serving municipal and state governments (strong plus)
6. Strong financial modeling, analytical, and transaction execution skills
7. Ability to work independently with minimal oversight
8. Comfortable operating in a fast-moving, transaction-driven corporate environment
9. Excellent communication and stakeholder management skills

Start: Immediately

Duration: 4-6 months (potential extension)

Time Commitment: ~15-20 hrs/week, with flexibility during peak deal periods

Location: Hybrid (West Coast preferred; open across the U.S. with travel flexibility)
